Terms of Service
Last updated:
These terms govern your use of the Barah Plus accounting platform, operated by [Registered company name] (Commercial Registration [Commercial Registration no.]), of [Registered address, Kingdom of Saudi Arabia]. By creating an account or using the service you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
1. The service
Barah Plus is a cloud accounting platform covering invoicing, purchasing, inventory, banking, payroll and related reporting. Features available to you depend on the subscription package on your account.
We may add, change or withdraw features. Where a change materially reduces functionality you rely on, we will give reasonable notice before it takes effect.
2. Your account
You must provide accurate registration details and keep them current. You are responsible for all activity under your account and for the confidentiality of your credentials.
You are responsible for the users you invite and the permissions you grant them. Tell us promptly if you believe an account has been compromised.
3. Trial, subscription and billing
A free trial, where offered, runs for the stated period and may be withdrawn or shortened if it is abused. No payment is taken during a trial.
Paid subscriptions are billed in advance for the chosen term and renew automatically unless cancelled before the renewal date. Fees are stated exclusive of VAT, which is added at the applicable rate.
If payment fails or a subscription lapses, access may be restricted to read-only and, after a further period, suspended. Your data is retained during this period as described in clause 9.
4. Your data
The data you enter — your accounts, customers, invoices, employees and documents — remains yours. We process it to provide the service and for no other purpose, except as set out in the Privacy Policy.
You may export your data at any time while your subscription is active, in the formats the platform provides.
5. E-invoicing and tax compliance
The platform provides tools to generate and submit e-invoices in line with ZATCA requirements. You remain the taxpayer of record and are responsible for the accuracy and completeness of what you file.
Correct configuration — your VAT registration, certificates, tax rates and account mappings — is your responsibility. We are not liable for penalties arising from incorrect data you entered or configuration you controlled.
6. Acceptable use
You may not use the service unlawfully, attempt to breach its security, access another tenant’s data, reverse engineer it, resell it without our written agreement, or place loads on it designed to degrade it for others.
We may suspend an account that is causing harm to the platform or to other customers, and will tell you why.
7. Availability and support
We work to keep the service available and to protect your data, but we do not warrant uninterrupted or error-free operation. Planned maintenance will be announced in advance where practicable.
Support is provided through the in-app channels and at [support@example.sa].
8. Intellectual property
The platform, its software, design and trademarks belong to us or our licensors. Your subscription grants a limited, non-exclusive, non-transferable right to use it while the subscription is active.
9. Suspension, termination and data retention
You may cancel at any time; cancellation takes effect at the end of the paid term and fees already paid are not refunded except where required by law.
We may terminate for material breach that is not remedied within a reasonable period after notice.
After termination we retain your data for a limited grace period so you can export it, then delete or anonymise it, except where a law such as the record-keeping requirements of the tax authority obliges us to keep it longer.
10. Liability
To the extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, goodwill or data arising from your use of the service.
Our total liability in any twelve-month period is limited to the subscription fees you paid in that period. Nothing here excludes liability that cannot lawfully be excluded.
11. Changes to these terms
We may update these terms. Material changes will be notified in the application or by email before they take effect. Continuing to use the service after that constitutes acceptance.
12. Governing law
These terms are governed by the laws of the Kingdom of Saudi Arabia. Disputes that cannot be settled amicably fall to the competent courts of the Kingdom.
